Terms of Service

These Terms of Use (the "Terms") govern your access to and use of the A-LIST mobile application (the "App") and any websites, content, features, products, and services made available by The Immortal Company and its affiliates (collectively, "Immortal," "we," "us," or "our") (together with the App, the "Services").

By accessing or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

1. Who we are; age & geography

The Services are offered by The Immortal Company ("Immortal").

Age 18+ only. You represent that you are at least 18 years old and legally able to enter into a contract.

U.S. launch. The Services are currently directed to users in the United States.

2. Accounts, credentials, and authentication

You are responsible for your account and for maintaining the confidentiality of your credentials. Notify us promptly of unauthorized use at support@a-list.com.

Authentication methods. We may support phone OTP, email OTP, and passkeys (FIDO2/WebAuthn). You authorize us to process authentication credentials as needed to verify your identity.

Handles are licensed, not owned. Usernames, handles, and vanity URLs may be reclaimed, reassigned, or modified at any time.

3. License to use the Services

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes. We may modify or discontinue any part of the Services at any time.

4. Wellness features, AI systems, and no medical advice

A-LIST includes wellness tracking, social features, and AI-powered assistants, including Guardian and others.

Not medical advice. The Services are not a medical device and do not provide medical advice, diagnosis, or treatment. Always consult a qualified professional.

4A. AI systems and Guardian functionality

The Services include AI systems that may:

• Generate recommendations, summaries, or content
• Process text, images, audio, and behavioral inputs
• Observe your current screen state and interface context
• Navigate or take actions within the app interface on your behalf (e.g., Guardian Tour Guide)

By using these features, you:

• Authorize the AI system to access and interpret your in-app screen state
• Acknowledge the AI may initiate UI actions, navigation, or suggestions
• Understand that:
  • These actions are non-binding
  • You can override or stop them at any time
  • Outputs may be inaccurate or incomplete

No professional role. All AI personas are artificial systems—not licensed professionals.

4B. Voice and real-time AI interactions

The Services may include real-time or call-like voice sessions with AI systems.

You acknowledge that:

• You are interacting with an AI system, not a human
• Audio may be processed by third-party providers to enable functionality
• You are responsible for what you say and share during these sessions

5. Subscriptions, billing, and entitlements

The Services include paid subscription tiers, such as Basic and Pro, with monthly and annual billing options.

Billing

• Subscriptions are billed via Apple App Store / Google Play / Stripe on Web
• These platforms handle payment processing and refunds

Auto-renewal

Subscriptions renew automatically unless canceled prior to renewal.

Entitlements

Access to features depends on:

• Your subscription tier
• Promotional or administrative access

We reserve the right to grant, modify, or revoke access independent of purchase status where necessary for operations, testing, or support.

Price changes

We may change pricing prospectively as permitted by law.

6. User content and media

"User Content" includes all data, text, images, videos, audio, messages, and activity logs you submit.

Ownership. You retain ownership of your content.

License. You grant us a worldwide, royalty-free, sublicensable license to use your content to operate, improve, and provide the Services.

6A. Camera, media capture, and analysis

The Services may include:

• Photo and video capture
• Multi-camera sessions
• AI-powered analysis (e.g., skin analysis, classification)

You acknowledge:

• Media may be processed by AI systems and service providers
• Media may be stored or processed depending on feature usage
• You are responsible for permissions and content captured

6B. Messaging and social features

The Services include public and private communication features, including direct messages (DMs).

• Messages may be processed for moderation, safety, and feature functionality
• You should not assume absolute confidentiality
• Visibility depends on your settings and interactions

7. Third-party services and AI processing

You authorize us to use third-party providers (e.g., AI providers, infrastructure, analytics, messaging, payments) to operate the Services.

This includes processing of:

• Text, images, and audio
• Behavioral and usage data
• Subscription and entitlement data

We require providers to handle data under contractual safeguards.

8. Acceptable use

You agree not to:

• Violate laws or harm others
• Share harmful, misleading, or unsafe content
• Abuse AI systems or attempt to manipulate outputs
• Scrape, reverse engineer, or disrupt the Services
• Impersonate others or misrepresent identity

We may remove content or suspend accounts at our discretion.

9. Intellectual property

All rights in the Services remain with Immortal and its licensors. No ownership rights are transferred.

Use of the App is also subject to Apple and Google platform terms. Apple is a third-party beneficiary of these Terms.

15. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PRIOR 12 MONTHS.

17. Indemnification

You agree to indemnify Immortal against claims arising from your use of the Services or violation of these Terms.

18. Termination

We may suspend or terminate your access at any time. Certain provisions survive termination.

19. Export and sanctions

You may not use the Services in violation of applicable export or sanctions laws.

• Class action waiver applies
• Opt-out available within 30 days

We may update these Terms. Continued use constitutes acceptance.
